Terms of Service

Please read these Terms of Service carefully before using Zavio. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Zavio clinical management platform ("Platform") provided by Zavio ("we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms on behalf of yourself and your organization.

2. Description of Services

Zavio provides a multi-tenant clinical management platform for healthcare organizations, including modules for CRM, intake, clinical workflows, scheduling, fleet management, attendance tracking, and reporting.

3. Eligibility & Account Registration

You must be at least 18 years old and authorized to enter into agreements on behalf of your organization to use Zavio. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree to use Zavio only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform in violation of any applicable law or regulation, including HIPAA
Attempt to gain unauthorized access to any part of the Platform or its systems
Upload malicious code, viruses, or disruptive content
Reverse engineer, decompile, or disassemble any part of the Platform
Use the Platform to store or transmit data in violation of third-party privacy rights
Resell or sublicense access to the Platform without written authorization

5. HIPAA Compliance

If your organization is a Covered Entity under HIPAA, your use of Zavio to process Protected Health Information (PHI) requires a signed Business Associate Agreement (BAA). Contact us at hello@zaviocare.com to execute a BAA before processing PHI.

6. Intellectual Property

Zavio and its licensors retain all rights, title, and interest in the Platform, including all software, designs, trademarks, and documentation. You retain ownership of data you input into the Platform. You grant Zavio a limited license to process your data solely to provide the services.

7. Payment & Subscription

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement. We reserve the right to modify pricing with 30 days' notice.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ZAVIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ZAVIO IS NOT A MEDICAL PROVIDER AND THE PLATFORM DOES NOT CONSTITUTE MEDICAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL ZAVIO'S TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate the agreement with 30 days written notice. Zavio may suspend or terminate your access immediately for material breach of these Terms. Upon termination, you may request export of your data within 30 days.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration in Miami-Dade County, Florida.

12. Changes to Terms

We may modify these Terms at any time. We will provide 30 days' notice for material changes. Continued use after notice constitutes acceptance.
